Content License Agreement

Introduction

This is a license agreement between you and GUARDIAN PROFESSIONAL CORPORATE SERVICES LTD (trading as Dreimage) that outlines how you may use the stock images and digital content you license from Dreimage. By purchasing content from Dreimage, you agree to the terms outlined in this agreement.

1. Licenses Offered by Dreimage

Each stock image you purchase from Dreimage comes with a standard usage license. You can purchase credits to acquire stock images and digital content from Dreimage. We offer credit packs in different quantities, and the more credits you purchase, the more you save.

2. Standard License

Rights Granted

Subject to the restrictions below, the rights granted by Dreimage include:

  • Reproduction and Display: To reproduce, post, blog, email, distribute, use in presentations, and display the content worldwide;
  • Commercial use: To use the content for commercial purposes, including advertising, marketing, and promotional materials;
  • Modification: To crop, resize, edit, and make derivative works of the content;
  • Multiple Projects: To use the content in multiple projects and campaigns;
  • Unlimited Time: To use the content without time restrictions;
  • Worldwide: To use the content anywhere in the world;
  • Multiple Users: To allow multiple users within your organization to use the content.

Restrictions

The following restrictions apply to the use of content:

  • No Resale: You may not resell, redistribute, provide access to, share or transfer the content to any other party, except in the ordinary course of business for the purpose for which the content was licensed (such as including the content in an advertisement you create for a client);
  • No Standalone Distribution: You may not use or distribute the content as a standalone item. The content must be incorporated into a larger work or project;
  • Attribution: For Editorial Use Only content, you must include appropriate attribution near the content when practical, for illustrative purposes only, e.g., "Dreimage photo. Posed by model."

3. Enhanced License

Enhanced licenses may be available for certain content, allowing for additional usage rights such as:

  • Use in items for resale or distribution where the main value is in the content itself;
  • Use in electronic items for resale, such as e-cards, screensavers, or e-books;
  • Use on merchandise for resale where the main value is in the content itself;
  • Use in templates for resale or distribution;
  • Use in print runs greater than 500,000 copies;
  • Use for sensitive or controversial subjects unless expressly authorized by Dreimage.

4. General Restrictions

The following restrictions apply to all licenses:

  • Do not use content in a pornographic, defamatory, or otherwise unlawful manner;
  • Do not use content to suggest endorsement of products or services by people depicted;
  • Do not use content in a way that competes with the content itself;
  • Do not reverse engineer, decompile, or disassemble any content;
  • Notify Dreimage of any unauthorized use.

5. Compliance and Account Monitoring

Dreimage reserves the right to monitor purchases and user activity to ensure compliance with the terms of this agreement. If Dreimage determines that you have violated the terms, your account may be suspended.

6. Ownership

Dreimage or the content creators own all licensed content. All rights not explicitly granted in this agreement are reserved.

7. Credit and Attribution

While not required for most uses, crediting the photographer and Dreimage is appreciated. Use the following format: "Dreimage/Artist's Member Name".

8. Termination

  • Termination by You: You may terminate this agreement at any time by ceasing to use the content and deleting any copies. Dreimage may terminate the agreement if you fail to comply with the terms.
  • Content Withdrawal: Dreimage may withdraw content from licensing at any time, and you will be required to cease using and delete the content if requested.

9. Representations and Warranties

Dreimage makes the following representations and warranties:

  • Copyright and Other Rights: Dreimage warrants that the use of the content in accordance with this agreement and as delivered by Dreimage will not infringe on any copyright, trademark, moral right, or other intellectual property rights, nor will it violate any rights of privacy or publicity. All necessary model and/or property releases have been obtained for the intended use. This warranty does not extend to modifications made to the content (whether using Dreimage's editing tools or otherwise).

For content marked "editorial use only," Dreimage guarantees that the content will not infringe on the copyright or moral rights of the artist. However, it does not grant any rights or warranties regarding the use of names, people, trademarks, brands, or copyrighted designs that may be depicted in the content.

10. Disclaimer

While reasonable efforts have been made to accurately categorize, caption, and title the content, Dreimage does not warrant the accuracy of the content's metadata or captioning information.

EXCEPT AS SPECIFICALLY PROVIDED HEREIN, THE CONTENT IS PROVIDED "AS IS" WITHOUT REPRESENTATION, WARRANTY, OR CONDITION OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO THE IMPLIED REPRESENTATIONS, WARRANTIES, OR CONDITIONS OF MERCHANTABILITY, OR FITNESS FOR A PARTICULAR PURPOSE. Dreimage does not represent or warrant that the content will meet your requirements or that its use will be uninterrupted or error-free.

11. Indemnification

a. Indemnification of Dreimage by You

You agree to defend, indemnify, and hold harmless Dreimage and its affiliates, content suppliers, and respective officers, directors, and employees from all damages, liabilities, and expenses (including reasonable legal costs) arising from any breach or alleged breach by you of any of the terms of this agreement.

b. Indemnification of You by Dreimage

Provided the content is used according to this agreement and you are not in breach, Dreimage agrees to defend, indemnify, and hold harmless you and your affiliates, officers, directors, and employees from all damages, liabilities, and expenses arising from any breach or alleged breach by Dreimage of its warranty in Section 9(a). This indemnification does not apply to damages arising from modifications made by you to the content or its context, or to continued use of content after notice from Dreimage that the content is subject to an infringement claim.

Dreimage's maximum aggregate liability is limited to 10,000 EUR per item of content. For higher indemnification amounts, please contact Dreimage.

12. Limitation of Liability

IN NO EVENT WILL DREIMAGE BE LIABLE FOR ANY CONSEQUENTIAL, INCIDENTAL, OR INDIRECT DAMAGES (INCLUDING, BUT NOT LIMITED TO LOST PROFITS, LOST DATA, OR LOSS OF GOODWILL) EVEN IF DREIMAGE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY, SO THESE LIMITATIONS MAY NOT APPLY TO YOU.

Dreimage will not be liable for any punitive, special, indirect, consequential, incidental, or similar damages, costs, or losses arising from this agreement, even if advised of the possibility of such damages.

13. General

a. Assignment. This agreement is personal to you and cannot be assigned without Dreimage's prior written consent. Dreimage may assign this agreement to a corporate affiliate or successor without notice or consent.

b. Audit/Certificate of Compliance. You agree to provide Dreimage with sample copies of projects using licensed content upon reasonable request. Dreimage may audit your records related to this agreement, and if an audit reveals an underpayment of 5% or more, you agree to reimburse Dreimage for the audit costs.

c. Electronic storage. You agree to retain the copyright symbol, Dreimage's name, the content's identification number, and any embedded information in the original content file, and to protect the content from unauthorized use.

d. Entire Agreement. This agreement constitutes the entire agreement between you and Dreimage relating to this subject matter and supersedes all prior agreements, understandings, and communications.

e. Governing Law. This agreement will be governed by the laws of England and Wales, without regard to conflict of law provisions.

f. Modification. This agreement may only be modified in writing signed by an authorized representative of Dreimage.

g. Severability. If any provision of this agreement is found unenforceable, it will not affect the enforceability of the remaining provisions.

h. Notice. Notices to Dreimage should be sent via email to info@dreimage.com. Postal address: GUARDIAN PROFESSIONAL CORPORATE SERVICES LTD, 1 Gunpowder Square Ground Floor, London, England, EC4A 3EP, United Kingdom. Notices to you will be sent to your registered email.

i. Survival. The provisions of this agreement that by their nature should survive termination will survive termination.

j. Interest on Overdue Invoices. Dreimage may add a service charge of 2.5% per month on any unpaid balance until payment is received.

k. Licensing Entity. The licensing entity under this agreement is GUARDIAN PROFESSIONAL CORPORATE SERVICES LTD (trading as Dreimage).
